Dear Sir,

Mr Haight <1> was detained in Rome much longer than he anticipated by the badness of the roads and the stormy weather. He was consequently obliged to hurry his affairs very much and had only one day to spend in London. This was unfortunate as I was very anxious that he should see you.

As things now remain in statu quo between us, I would prefer to settle them by receiving from you a distinct proposition as to the terms on which you will dispose of your entire patent right for America, <2> that the trouble of a partnership between us may not exist.

If you will have the kindness to make an explicit offer, the terms of which cannot be misunderstood, as to the lowest amount you will accept, I will send an answer in the affirmative or negative and the matter will be settled.
