And whereas ye sd S F & I F did in ye mth of F now last past offer to sell part of ye sd close to ye W&S Cy

but ye sd Cy have neither accepted nor rejected ye sd offer

and ye sd S F & I F have since that time by letter entirely wthdrawn ye sd offer

and whereas ye sd – & – have communcd to ye sd WHFT copies of all ye correspce wch has passd betwn ym or yr Solicr & ye sd Company touching this ye sd matter – that is to say – copies of ye 3 follg letters

And whereas ye sd – & – do now give to ye sd – their assurance & guarantee that they have not done nor will do any other act or thing tending to engage them towards ye sd Cy in ye sd matter

It is agreed between ye parties hereto that ye sd close or piece of land shall be acceptd & taken by ye sd – subject to any claim wch ye sd Cy may have to purchase any part of it by reason of ye sd Correspondence herein above recited.

And whereas the said Stephen Fussell <1> & Isaac Fussell <2> did in the month of February now last past offer to sell part of the said close to the Wilts & Somerset Company but the said Company have neither accepted nor rejected the said offer and the said Stephen Fussell & Isaac Fussell have since that time by letter entirely withdrawn the said offer

and whereas the said Stephen Fussell and Isaac Fussell have communicated to the said William Henry Fox Talbot copies of all the correspondence which has passed between them or the Solicitor and the said Company touching this on said matter – that is to say – copies of the three following letters

And whereas the said Stephen Fussell and Isaac Fussell do now give to the said William Henry Fox Talbot their assurance and guarantee that they have not done nor will do any other act or thing tending to engage them towards the said Company in the said matter

It is agreed between the parties hereto that the said close or piece of land shall be accepted and taken by the said William Henry Fox Talbot subject to any claim which the said Company may have to purchase any part of it by reason of the said Correspondence herein above recited.
